1. Who these terms are between

CutSight (cutsight.ai) is run by [ENTITY NAME], a [ENTITY FORM, e.g. California limited liability company] at [BUSINESS ADDRESS] ("CutSight", "we", "us").

These terms are an agreement between us and the business that uses CutSight. CutSight is a tool for barbershops in the United States, not for personal or household use. If you agree to these terms for a business, you confirm that you are allowed to act for it, and "you" means both you and the business.

You agree to these terms by pressing the button they are named beside: Connect Square or Connect your shop for an owner, or Accept and open my dashboard on an invitation for a barber. We keep a record of which version you agreed to and when. If you don't agree to them, don't press it, and don't use CutSight. You must be at least 18 to use CutSight.

2. What CutSight does

A shop owner connects the shop's Square account. CutSight then reads the shop's appointments, team members, services and prices, customer records and, where Square grants that permission, payments, and turns them into:

CutSight's access to Square is read-only. It cannot create, change or cancel a booking, charge a card, issue a refund or move money, and it never asks Square for permission to do any of those things.

A shop owner can also add a Google Calendar from Settings, which CutSight reads with read-only permission, for when Square won't connect; barbers can't. Where these terms talk about Square data — including the owner's promises in section 3 and the permission in section 7 — they apply in the same way to calendar data.

3. Owners, barbers and clients

Three kinds of people appear in CutSight, and they stand in different places under these terms.

The owner

The owner connects the shop's Square account and is our customer. The owner decides who else gets access, and is responsible for everything done under the shop's account. By agreeing to these terms as a shop's owner, you confirm that:

Barbers

A barber joins a shop's CutSight account only by accepting an invitation from its owner. Some barbers are the owner's employees and some rent a chair and run their own business. Either way, the barber isn't our customer and isn't responsible for the owner's promises in these terms.

What a barber sees. A barber's account shows that barber's own figures from the shop's Square data — their bookings, their clients (including the clients' names, phone numbers and email addresses), and what their rent agreement works out to — and nothing about any other barber. The owner can see everything on a barber's dashboard, except the barber's own coaching score, which is the barber's alone.

What a barber agrees to. By accepting an invitation, a barber agrees to sections 3, 4, 6, 10 and 12 through 19. Section 16 (responsibility for claims) does not apply to barbers. In particular, a barber agrees to use the client information CutSight shows them only for their work at that shop, and only as the shop and the law allow.

When a barber leaves. The shop's data belongs to the shop, so the owner controls a barber's access. A barber's access to the shop's data ends when the shop marks them inactive in Square, from the next time CutSight reads the shop's team, and the owner can also ask us to end it at any time. The barber's login stays — they can still sign in, but see no shop data — until they ask us to delete it. If you're a barber and you want a record of your figures, keep your own copy while you have access, and settle any question about your rent or commission with the shop, not with us.

Clients

Your clients appear in CutSight because they appear in your Square account, or in a Google Calendar you connect. They are not CutSight users, they have not agreed to these terms, and we have no relationship with them except through you. We use their information only to provide CutSight to your shop. Telling your clients how you use their information is your responsibility. A client can ask you or us about their information; if they ask us, we'll handle the request as our Privacy Policy describes and let you know.

4. The figures, and relying on them

CutSight's figures are worked out from what Square sends us. We label them carefully, and we'd rather show a gap than fill it with a guess. You should still know exactly what they are, and where they stop being reliable:

CutSight is a way of reading your Square data, not a replacement for it. Square's own records are the source; where the two disagree, Square's are the ones to go by. Before you pay anyone, settle a dispute, or make a decision about someone's work on the strength of a CutSight figure, check it against Square — especially for any period that ended more than 14 days ago. If you find a figure that looks wrong, tell us.

5. CutSight is not payroll

CutSight can work out what each barber's bookings come to under the commission or booth-rent arrangement you enter. Those are calculations, not payments and not advice:

What you pay, to whom and when is your decision and your responsibility, including meeting any wage-and-hour, tax and record-keeping rules that apply to your shop. For those, use a payroll provider, an accountant or a lawyer.

6. The CutSight Assistant

The CutSight Assistant is an AI model (currently Anthropic's Claude), not a person, and each conversation with it opens by saying so. It answers questions in writing from your shop's figures in CutSight and, on an owner's account, from general information about how barbershops work. It is built to report what changed and where to look, not to judge anyone, and it is built not to score or rank barbers. To answer, it sends Anthropic the figures it needs, and on a barber's account it can include the names and visit history of that barber's clients; the Privacy Policy sets out exactly what is sent.

7. Your data

Your shop's data is yours. That means the data CutSight reads from your Square account, and what you enter into CutSight, such as rent agreements. We don't own it, and we don't sell it.

You give us permission to read, store, process and display that data only as needed to provide CutSight to you and the people you invite, to keep it secure, to fix problems, and to meet our legal obligations. We don't use your shop's data to train AI models, and we don't use it for advertising.

Square access tokens are encrypted before they're stored. If we discover a breach affecting your shop's data, we'll tell you immediately, so you can meet any obligations you have to the people in it. What we collect, who processes it for us, how long we keep it, and what CutSight can't yet do are set out in our Privacy Policy, which forms part of these terms.

Anything you tell us about CutSight itself — suggestions, bug reports, ideas — we may use to improve it, without owing you anything for it.

8. If your shop is covered by California privacy law

If your shop is a "business" under the California Consumer Privacy Act (as amended by the California Privacy Rights Act), we act as your service provider for the personal information CutSight processes for you. The specific business purpose for which you disclose it to us, and for which we process it, is providing CutSight to you as these terms and the Privacy Policy describe. We agree that:

  1. we don't sell or share it (as that law defines "sell" and "share");
  2. you disclose it to us only for that limited and specified business purpose;
  3. we don't retain, use or disclose it for any purpose other than that business purpose, or as that law and its regulations otherwise allow;
  4. we don't retain, use or disclose it for any commercial purpose other than that business purpose, unless that law or its regulations expressly allow it;
  5. we don't retain, use or disclose it outside our direct business relationship with you, unless that law or its regulations expressly allow it, and we don't combine it with personal information we receive from anyone else or collect ourselves, except as they allow;
  6. we comply with that law and its regulations as they apply to us, and give it the same level of privacy protection they require of you;
  7. you may take reasonable and appropriate steps to make sure we use it consistently with your obligations under that law;
  8. we will tell you if we decide we can no longer meet our obligations under that law;
  9. if you tell us we are using it without authorisation, you may take reasonable and appropriate steps to stop and fix that; and
  10. you will tell us about any request from a person under that law that we need to act on, and give us what we need to act on it.

The companies that process that information for us are listed in the Privacy Policy.

9. Square

CutSight is an independent product. It is not made, endorsed or supported by Block, Inc., which runs Square. Your Square account is governed by your agreement with Square, and nothing in these terms changes it. We are not responsible for Square's service, and if Square changes or limits what it lets us read, parts of CutSight may stop working or change.

You can remove CutSight's access in your Square account at any time, and CutSight can then no longer read new data from it. CutSight doesn't yet delete your shop's data on its own when that happens; it stays until you ask us to delete it (section 13).

10. Fair use

Use CutSight for running your shop. Don't:

We may limit or suspend access that breaks these rules or puts CutSight, its users, or the people in your data at risk. Where it's reasonable to, we'll tell you first and give you a chance to fix it.

CutSight, its software and its design belong to us. These terms give you the right to use CutSight for your shop while they're in force, and nothing more.

11. Price

CutSight doesn't currently charge anything. We may introduce paid plans. If we do, we will tell you in advance and in writing, and you will not be charged anything unless you choose a paid plan and agree to its price and terms at the time.

12. Early access and changes to CutSight

CutSight is new and changes often. We may add, change or remove features. If we're going to remove something you rely on, we'll try to give you reasonable notice. Early-access features may be unfinished.

13. Ending your use

Sections 4, 5, 7, 14, 15, 16, 17 and 19 continue to apply after your use ends.

14. Disclaimer

CUTSIGHT IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT THE LAW ALLOWS, WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED — INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY OR NON-INFRINGEMENT — AND WE DO NOT PROMISE THAT CUTSIGHT WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ITS FIGURES WILL BE COMPLETE OR CORRECT.

In plain terms: we work hard to get the numbers right, and section 4 tells you honestly where they fall short. We can't promise more than that.

15. Limits on liability

TO THE FULLEST EXTENT THE LAW ALLOWS: (A) NEITHER YOU NOR WE ARE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL LOSS, OR FOR LOST PROFITS, REVENUE OR DATA, EVEN IF WARNED THAT IT WAS POSSIBLE; AND (B) EACH PARTY'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO CUTSIGHT OR THESE TERMS IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID US FOR CUTSIGHT IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE, OR US $100. THESE LIMITS DO NOT APPLY TO EITHER PARTY'S OBLIGATIONS UNDER SECTION 16.

Without limiting that, we are not responsible for any payment you make, or decide not to make, on the strength of a CutSight figure. Nothing in these terms excludes or limits liability for fraud, for gross negligence, for wilful injury to a person or their property, for breaking the law, or for anything else that the law doesn't allow to be excluded or limited.

16. Responsibility for claims

If someone — a barber, a client or anyone else — makes a claim against us because of the data you connected, how you used CutSight or its figures (including what you paid anyone), an invitation you asked CutSight to create, or your breaking these terms or the law, you will defend us against that claim and cover the losses and reasonable costs it causes us. This section applies to owners, not to barbers.

If someone claims that CutSight itself — our software, not your data — infringes their intellectual property, we will defend you against that claim and cover the losses and reasonable costs it causes you.

Either way, the party making the claim for protection will tell the other about it promptly, let the other control the defence, and help where it reasonably can, and the party in control won't settle in a way that admits fault on the other's part without the other's agreement.

17. Disputes

If either of us has a problem with the other, we'll raise it in writing first — you at the address in section 20, us at the email address on your account — and both of us will try in good faith to sort it out for 45 days before starting a legal claim. Any time limit for bringing the claim is paused during those 45 days.

These terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any claim that isn't resolved informally will be decided by the state or federal courts located in [COUNTY] County, California, and both of us agree to those courts' jurisdiction. Either of us may instead bring a claim in small-claims court if it qualifies, and either of us may ask any court for an urgent order to protect our data or intellectual property.

18. Changes to these terms

We may update these terms as CutSight changes. If we make a change that matters, we'll write to you at the email address on your account at least 30 days before it takes effect, and we'll show the new effective date at the top of this page. A change applies only from its effective date, never to anything that happened before — a dispute is decided under the terms in force when it arose. If you don't agree to a change, you can stop using CutSight before it takes effect; if you keep using CutSight after that, the new terms apply. If a change introduces a charge, or changes how disputes between us are resolved, it won't apply to you until you actively agree to it.
